Executive Summary

The development and acquisition strategy of Amerisist is centered on mid-sized one story facilities clustered in small metro and rural hub locations throughout Virginia, West Virginia, Maryland, Pennsylvania, Southern New Jersey and Delaware under a “Hub and Spoke” concept. These targeted area’s are all within a four hours by car from the Home Office. This model is based upon six to eight assisted living facilities (“Spokes) surrounding a facility equipped to handle higher acuity needs or the (“Hub) creating consistent internal referral sources as well as many operational efficiencies. The concept also affords the consumer peace of mind knowing that mom or dad will be cared for within a familiar system as their care needs increase. In addition, this clustering approach offers many operating efficiencies, including centralized accounting functions, marketing oversight, name recognition, facility maintenance, quality assurance, training, human resource functions, dietary oversight and scale purchasing.

Future Amerisist facilities will range in size between 46 and 72 bed units depending upon demand. The 72-bed units include a 46-bed assisted living component with an additional 24-bed wing catering to residents suffering from dementia. The mid-size facility design allows an operator to run very efficiently as it compares to the “Big Box” or multi-story facilities for many reasons. These individual facility efficiencies are augmented by the fact that most administrative functions are centralized and therefore allows the Resident Managers to focus on resident care alongside the frontline staff. This means that the manager can work daily with residents and family members while overseeing care staff, insuring compliance with all regulatory requirements and marketing.

The design of the facility is such that it allows care staff (“Assisted Living Techs”) to serve in multi-tasking roles that include all aspects of assistance with daily care such as medication management and oversight, bathing, activities, housekeeping, and dining. Special Needs units consisting of 24 beds attached to the 46 bed assisted living units are operated as a separate unit using the same concept. These units are staffed with a nurse in charge who also is involved in the care of residents. The assisted living units serve as a natural feeder to the special needs unit capturing much higher rates and increasing overall margins.

This operating strategy, proven successful in our current operating region of northwest Virginia, will be replicated in our other targeted markets.
